Beta Terms for the reporting.finance service
Version 1.0
1. Parties and subject
1.1 The provider is Hospitality CEE, s.r.o., company ID 19489617, registered office Kaprova 42/14, Staré Město, 110 00 Prague 1, Czech Republic, registered at the Municipal Court in Prague, section C, file 387413 (the "Provider"), which operates the CZ Financial Reporting Paradise service at app.reporting.finance (the "Service").
1.2 The customer is each company listed in the record of acceptance of these terms (the "Customer"). The terms are accepted on the Customer's behalf by a person authorised to act for it.
1.3 The Provider lets the Customer use the beta version of the Service to try it out and develop it, and the Customer gives the Provider feedback.
2. Free of charge
2.1 The Service is provided free of charge during the beta. The Customer owes nothing.
2.2 Use of the Service never becomes paid automatically or by the passage of time. Any paid terms will be offered separately by the Provider and apply only if the Customer expressly accepts them.
3. Nature of the beta
3.1 The Service is under development and is provided as is. It may contain errors, may be interrupted, and its features may change or be removed.
3.2 The outputs of the Service are management reports. They do not replace the accounts, the financial statements, an audit, or tax or other professional advice. The Customer checks them against its accounting records before relying on them for decisions.
3.3 The Provider does not guarantee the availability of the Service or that it will continue to be provided.
4. Customer data and personal data
4.1 Data the Customer uploads to the Service remains the Customer's. The Provider uses it only to provide the Service and to resolve faults at the Customer's request or to remedy a malfunction.
4.2 The Provider does not use the Customer's data for comparisons with other customers and does not pool it with other customers' data, including in anonymised form.
4.3 Processing of personal data is governed by the Data Processing Agreement concluded together with these terms. In personal-data matters that agreement prevails.
4.4 The Customer uploads only data it is entitled to upload and, without prior agreement with the Provider, uploads no special categories of personal data (e.g. health data) and no birth numbers.
5. Access
5.1 The Customer determines its users and their roles and is responsible for their keeping access credentials and authentication devices secure. It notifies the Provider without undue delay of any suspected misuse of access.
6. Confidentiality
6.1 Each party keeps confidential the other party's non-public information obtained in connection with the Service and uses it only for the purposes of these terms. This does not apply to publicly known information or where disclosure is required by law.
7. Liability
7.1 The Provider is not liable for lost profit, loss of data caused by the Customer, indirect damage, or decisions made on the basis of the Service's outputs.
7.2 The Provider's total liability for harm arising in connection with the Service is limited to CZK 25,000.
7.3 The limitations in this article do not apply to the extent the law does not permit them, in particular for harm caused intentionally or by gross negligence and for harm to the natural rights of a person.
8. Term and termination
8.1 These terms apply for an indefinite period. Either party may end them at any time by notice to the other party by e-mail; the Customer may also do so in the application.
8.2 After termination the Provider lets the Customer download its outputs for 30 days and then deletes its data in accordance with the Data Processing Agreement.
9. Changes
9.1 The Provider may change these terms by notice in the application or by e-mail at least 30 days in advance. If the Customer does not agree, it may end the terms under Article 8.
9.2 A change under Article 9.1 cannot introduce a charge; Article 2.2 applies to that.
10. Final provisions
10.1 These terms are concluded electronically by acceptance in the application. The Provider keeps a record of the acceptance and sends the Customer a copy by e-mail.
10.2 These terms are governed by the law of the Czech Republic. Disputes are decided by the courts of the Czech Republic.
10.3 These terms are made in Czech and English. In case of conflict the Czech version prevails.
